Applicability

This End User License Agreement applies to EnforceLogix software components, including browser extensions, agents, installers, scripts, updates, and related documentation made available by EnforceLogix. This EULA supplements the Terms of Service and any signed customer agreement.

If you install, access, or use the software on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not install, access, or use the software.

License Grant

Subject to applicable fees, subscription limits, documentation, and compliance with this EULA and any governing agreement, EnforceLogix grants customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the software in object code form solely for customer internal business security purposes during the applicable subscription term.

License Scope

  • The software may be used only by authorized users, on authorized devices, and within the number of subscriptions, tenants, workspaces, or environments purchased by customer.
  • The software may be copied only as reasonably necessary for installation, backup, operational security, or normal use.
  • The software may require access to EnforceLogix hosted services, browser stores, cloud services, identity providers, SaaS platforms, or customer-authorized APIs to function.
  • Customer is responsible for ensuring that customer-managed devices, browsers, networks, and systems meet applicable technical requirements.

Restrictions

  • Do not copy, modify, adapt, translate, merge, vary, or create derivative works except as expressly permitted.
  • Do not disassemble, decompile, reverse engineer, or attempt to derive source code except where the restriction is prohibited by law.
  • Do not rent, lease, loan, resell, sublicense, distribute, host, outsource, or make the software available to unauthorized third parties.
  • Do not remove proprietary notices, disable security controls, bypass licensing controls, or interfere with enforcement mechanisms.
  • Do not combine the software with other programs in a way that subjects EnforceLogix software to open-source or third-party license obligations not accepted by EnforceLogix.
  • Do not use the software for unlawful monitoring, unauthorized interception, credential theft, malware deployment, or compromise of third-party systems.
  • Do not use the software to build, benchmark, train, or improve a competing product or service without written consent.

Customer Deployment Responsibilities

Customer is responsible for endpoint deployment, identity integration, extension installation, device management, policy configuration, user notices, employment or monitoring disclosures, consents, and legal compliance in each jurisdiction where the software is used.

Customer acknowledges that the software has not been developed to meet every customer's individual legal, security, insurance, or regulatory requirements. Customer is responsible for confirming that the software and services meet customer requirements.

Telemetry and Customer Data

The software may collect device, browser, health, diagnostic, policy, enforcement, installation, update, and security telemetry needed to provide the service, verify license compliance, maintain security, apply customer policy, generate audit records, and troubleshoot issues.

Processing of personal information and Customer Data is described in the Privacy Policy, Terms of Service, DPA where applicable, and customer agreement.

Ownership

The software is licensed, not sold. EnforceLogix and its licensors retain all right, title, and interest in the software, documentation, updates, technology, know-how, and related intellectual property. Customer has no right to access source code unless expressly agreed in writing.

Updates and Changes

EnforceLogix may provide patches, maintenance releases, security updates, and feature updates. Updates may be required for continued operation, security, compatibility, support, or compliance. EnforceLogix may modify software features in the ordinary course of product development, security response, platform changes, or legal compliance.

Third-Party Platforms

The software may be distributed through browser stores, including the Chrome Web Store, and may interoperate with third-party identity providers, SaaS platforms, AI services, cloud providers, and APIs. EnforceLogix is not responsible for third-party platforms, their terms, their availability, or changes to their APIs, policies, permissions, or review processes.

Warranty Disclaimer

Except as expressly stated in a signed agreement, the software is provided as-is and as-available without warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free performance, vulnerability-free operation, or that every threat, policy violation, bypass attempt, or unauthorized access event will be detected or prevented.

Limitation of Liability

To the maximum extent permitted by law, EnforceLogix is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages, or for lost profits, revenue, goodwill, business interruption, data loss, or cost of substitute services. Aggregate liability under this EULA is limited to amounts paid or payable for the affected software or services in the 12 months before the event giving rise to the claim.

Termination

This EULA remains effective until terminated. EnforceLogix may suspend or terminate the license for nonpayment, material breach, misuse, legal risk, security risk, sanctions or export concerns, or violation of restrictions.

Upon termination, all license rights cease and customer must stop using the software, remove deployed components where reasonably required, and delete or return controlled copies unless retention is required by law or expressly permitted in writing.

Export and Sanctions

Customer will comply with applicable export control, sanctions, and trade laws. Customer may not use, export, re-export, transfer, or provide access to the software in violation of those laws or for prohibited end uses.

Governing Law

Unless otherwise stated in a signed agreement, this EULA is governed by the laws of the State of Florida, excluding conflict of law principles.
